Introduction
Vardhnova Biotech ("Vardhnova," "we," "our," or "us") is a biotechnology research and product development organisation based in Meerut, Uttar Pradesh, India. These Terms of Service ("Terms") govern your use of this website and your engagement of our R&D services. By using this website or engaging our services, you agree to these Terms. Every substantive R&D project is additionally governed by a separate signed project agreement, which takes precedence over these Terms for that engagement.
Scope of Services
Vardhnova provides biotechnology R&D and product development services — research, formulation, computational modelling, prototyping, optimisation and validation. Our internal research intelligence system ("Cortex") supports our scientific team; it is not a public product. References to any "workspace," "account" or tool apply only where such technology is actually made available to you.
Engagements & Deliverables
- •Free discovery: An initial consultation is free and carries no obligation.
- •Scope before work: Deliverables, timeline and pricing are documented and agreed in a project agreement before technical work begins.
- •Milestone delivery: Work is delivered against agreed milestones, with data shared for your review at each stage.
- •Documentation: Projects include the technical documentation defined in the project scope.
- •Fees: Fees, payment schedule and any optional paid consultations are set out in the proposal or project agreement and are exclusive of applicable taxes.
Acceptable Use
You agree to use our website and services lawfully and in good faith. You may not engage us or use our services to:
- •Develop weapons or harmful biological, chemical or other dangerous substances.
- •Pursue work that breaches ethical guidelines, biosafety rules or applicable law.
- •Misrepresent your identity or the ownership of the idea or materials you provide.
- •Attempt to reverse-engineer or extract Vardhnova's proprietary methods, tools or the Cortex system.
- •Disrupt or interfere with our website or infrastructure.
Intellectual Property
- •Project & Client IP: Ownership of project-specific ideas, deliverables and outcomes is defined transparently in the signed project agreement. As a default, your idea and the project-specific outcomes are treated as yours. Vardhnova does not automatically claim ownership of a client's idea.
- •Vardhnova IP: Pre-existing Vardhnova methodology, tools, technology, branding and the Cortex research system remain Vardhnova's property unless a signed agreement states otherwise.
- •Feedback: Suggestions or feedback you give about our website or services may be used by Vardhnova without obligation.
Confidentiality
A mutual NDA is signed before detailed project information is shared. We ask that you do not submit confidential technical information through the initial website form. Project information is used only to deliver the agreed work, is kept isolated per client, and is not shared across engagements.
Disclaimers & Liability
- •Vardhnova is a research and development partner, not a certifying authority or government regulator.
- •Research outputs, computational models and recommendations support your decisions and must be validated through appropriate regulatory, safety and testing channels before commercial or clinical use.
- •Where our tools use computational or AI methods, outputs are estimates reviewed by our scientific team and may require experimental verification.
- •Except as set out in a signed project agreement, services are provided on a reasonable-effort basis without warranties of any kind, express or implied.
- •To the extent permitted by law, Vardhnova's total liability for a project is limited to the fees paid for that project.
Modifications to Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Your continued use of the website or services after changes take effect constitutes acceptance of the revised Terms. Terms of an active signed project agreement are not changed by updates to this page.
Governing Law
These Terms are governed by the laws of India. Any dispute relating to these Terms or your use of our website or services is subject to the exclusive jurisdiction of the courts in Meerut, Uttar Pradesh, India. If any provision is found unenforceable, the remaining provisions continue in full force.
